Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AMSITECH ("Company," "we," "our," or "us") regarding your use of our website and services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

Intellectual Property Rights

The content, features, and functionality of our services are owned by AMSITECH and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

For custom development projects, intellectual property ownership will be specified in the project agreement. Generally:

• • Client owns the final deliverables and custom code developed specifically for them
• • AMSITECH retains rights to general methodologies, tools, and pre-existing intellectual property
• • Both parties respect each other's intellectual property rights

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• • Project fees are due according to the payment schedule in the project agreement
• • Late payments may incur additional charges
• • All fees are non-refundable unless otherwise specified
• • Prices are subject to change with 30 days notice
• • Additional work outside the original scope may incur additional charges

Limitation of Liability

To the maximum extent permitted by law, AMSITECH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

Warranty Disclaimer

Our services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, and hereby disclaim all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free.

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will cease immediately. All provisions of the Terms which by their nature should survive termination shall survive.

Governing Law

These Terms shall be interpreted and governed by the laws of the State of California, United States, without regard to conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in San Francisco County, California.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Your continued use of our services after any such changes constitutes acceptance of the new Terms.
